Trump Media shares close at record low as TAE merger remains pending

Closing-market result and company SEC disclosures; no allegation, regulatory finding or completed merger

Donald Trump

Trump Media & Technology Group shares closed October 16 at $6.99, down about 5.5 percent from the prior close and below the company's previous closing lows. The Wall Street Journal described it as an all-time closing low. The decline is a market result, not an allegation or government finding, and it does not establish a realized personal loss for President Donald Trump. The company's proposed all-stock merger with fusion developer TAE Technologies remains pending.

Response / context

Trump Media and TAE said September 30 that a Form S-4 registration statement had been filed for the proposed merger. In a related 8-K, Trump Media disclosed that it had funded a $200 million note to TAE, that TAE could request up to another $100 million during a specified draw period and that the registration statement had not yet become effective. The filing says the merger may be delayed or may not close if shareholder, regulatory or other conditions are not satisfied. The Journal reported that the S-4 described substantial doubt about TAE's ability to continue as a going concern and that TAE sought, but did not obtain, a pricing collar during negotiations. The Ledger could not retrieve the full, unusually large S-4 through its document reader and relies on the Journal for those two details. No new Trump Media or TAE statement specifically responding to the October 16 share-price decline was located during this review. Market prices can change after publication.
