States sue Treasury over beneficial-ownership reporting rollback

Complaint filed; states seek vacatur and a halt to planned data purge; no ruling or injunction identified

Donald Trump

A coalition of 20 states and the District of Columbia sued Treasury Secretary Scott Bessent, the Treasury Department, FinCEN and other federal officials over rules that exempt domestic companies and U.S. owners of foreign companies from beneficial-ownership reporting under the Corporate Transparency Act. The 54-page complaint alleges that FinCEN exceeded its statutory authority, violated the Administrative Procedure Act and unconstitutionally displaced Congress's reporting mandate. The plaintiffs ask the court to vacate the interim and final exemption rules and prevent FinCEN from deleting previously collected information. These are allegations and requests in a newly filed civil complaint; no court ruling, vacatur, stay or injunction was identified.

Response / context

Treasury's August announcement described the final rule as eliminating a burdensome requirement for millions of law-abiding small-business owners without compromising national security. The rule took effect August 14 and retained reporting obligations for foreign entities concerning foreign individuals while exempting U.S. companies and U.S. persons and announcing deletion of certain previously reported data. Reuters said Treasury did not respond to its request for comment on the lawsuit. The states allege the exemptions remove more than 99.9% of entities that otherwise would report and impair law-enforcement and tax investigations; those claims remain unadjudicated.
